AGS provides Commonwealth agencies with advice and transactional support in relation to corporations where the body is a corporation, has an interest in a corporation (as a member or shareholder) or is dealing with a corporation.

We advise on the establishment of, and corporate governance arrangements for Commonwealth owned corporations, as well as on the appointment, remuneration and mandate of directors, including in instances where the Commonwealth is not the only shareholder. We also advise on issues associated with access to information and the appropriate level of control over a Commonwealth-appointed director's actions as a director (for example, voting on board decisions).

Our commercial specialists advise on company constitutions, shareholder agreements and debt and equity funding arrangements where the Commonwealth is one of several shareholders.

We are experts on the rights and obligations of entities and directors who are subject to the Commonwealth Authorities and Companies Act.

We assist with arrangements for privatisation of Commonwealth-owned assets.

We advise on issues relating to ownership and control of companies that are the subject of statutory ownership or control restrictions such as those applicable in the broadcasting, telecommunications, aviation and banking sectors.

We have significant experience in advising the Commonwealth in relation to major corporate insolvencies, and our client agencies in relation to dealing with corporate insolvencies of funding recipients.
